Overview

Welcome to Paragon. Throughout these Terms of Service, the terms "we," "us," and "our" refer to Paragon. Paragon operates this store and website — including all associated information, content, features, tools, products, and services — to provide you, the customer, with a curated shopping experience (collectively, the "Services"). Paragon’s Services are powered by Shopify, which enables us to deliver this experience to you.

These Terms of Service, together with any policies referenced herein (collectively, these "Terms of Service" or "Terms"), describe your rights and responsibilities when using the Services. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or otherwise using Paragon's Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, please do not access or use the Services.

Section 1 – Access and Account

By agreeing to these Terms of Service, you represent that you have reached the age of majority in your state or province of residence, and that you consent to allow any minor dependents in your care to use the Services on devices you own, purchase, or manage.

To use the Services — including browsing Paragon's online store or purchasing any products or services we offer — you may be asked to provide information such as your email address and billing, payment, and shipping details. You represent and warrant that all information you provide is accurate, current, and complete, and that you have the right to provide it.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Your account may not be transferred, sold, assigned, or licensed to any other person.

Section 2 – Our Products

Paragon makes every effort to accurately represent the products and services offered in our online store. Please note, however, that colors and product appearance may vary depending on the device, display, and settings you use to view the store, and Paragon does not warrant that the appearance or quality of any product you receive will precisely match its online depiction.

Product descriptions are subject to change at any time and at Paragon's sole discretion. We reserve the right to discontinue any product at any time, and to limit the quantities of any product we offer to any person, geographic region, or jurisdiction.

All lighting fixtures should be installed by a licensed electrician. Paragon is not liable for damages or injuries resulting from improper or do-it-yourself installation. Unless otherwise specified, Paragon's products are designed for standard U.S. electrical systems (110–120V).

Section 3 – Orders

When you place an order with Paragon, you are making an offer to purchase, which Paragon may accept or decline at its discretion. Your order is not accepted until Paragon confirms it, and payment must be received and processed before an order is accepted. Please review your order carefully before submitting it, as Paragon may be unable to accommodate cancellation requests once an order has been accepted. If Paragon does not accept, changes, or cancels an order, we will attempt to notify you using the email address, billing address, or phone number provided at checkout.

Purchases are subject to return or exchange solely in accordance with Paragon's Refund Policy. By purchasing from Paragon, you represent and warrant that your purchases are for personal or household use and not for commercial resale or export.

Section 4 – Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged for any product or service is the price in effect at the time your order is placed, as reflected in your order confirmation email. Unless stated otherwise, posted prices exclude taxes, shipping, handling, customs, and import charges.

Prices in Paragon's online store may differ from prices at physical retail locations or other online or third-party stores. Paragon may run promotions from time to time that are governed by separate terms; where those terms conflict with these Terms of Service, the promotion's terms will govern.

You agree to provide accurate, current, and complete payment and account information, and to promptly update this information — including your email address and payment details — so that Paragon can process your transactions and contact you as needed. You represent and warrant that (i) any payment information you provide is true, correct, and complete; (ii) you are authorized to use the applicable payment method; (iii) charges you incur will be honored by your payment provider; and (iv) you will pay all charges at the posted prices, including shipping, handling, and applicable taxes.

Section 5 – Shipping and Delivery

Paragon is not liable for shipping or delivery delays. All delivery times are estimates only and are not guaranteed; Paragon is not responsible for delays caused by shipping carriers, customs processing, or other events beyond our control. Once products are transferred to the carrier, title and risk of loss pass to you.

Section 6 – Intellectual Property

Paragon's Services — including all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement of these elements — are owned by Paragon, its affiliates, or its licensors, and are protected by U.S. and foreign intellectual property laws.

These Terms permit you to use the Services solely for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, download, store, or transmit any material from the Services without Paragon’s prior written consent. Except as expressly stated here, nothing in these Terms grants any license or right under any Paragon, Shopify, or third-party patent, trademark, copyright, or other intellectual property. Unauthorized use of the Services may violate federal and state intellectual property laws; all rights not expressly granted are reserved by Paragon.

Paragon's names, logos, product and service names, designs, and slogans are trademarks of Paragon, its affiliates, or its licensors, and may not be used without Paragon's prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify. All other names, logos, and marks appearing on the Services belong to their respective owners.

Section 7 – Optional Tools

Paragon may provide access to customer tools offered by third parties as part of the Services. We do not monitor, control, or have input into these tools, and we provide access to them "as is" and "as available," without warranties, representations, or endorsement of any kind. Paragon has no liability arising from your use of any optional third-party tools.

Your use of any optional tools offered through the Services is entirely at your own risk, and you should review and understand the terms under which each third-party provider makes its tools available. Any new features or tools Paragon introduces in the future are considered part of the Services and are subject to these Terms of Service.

Section 8 – Third-Party Links

The Services may include materials and hyperlinks to third-party websites, including embedded third-party functionality. Paragon does not examine or evaluate the content or accuracy of any third-party materials or websites, and accessing them from the Services is done at your own risk.

Paragon is not liable for any harm or damages arising from your access to third-party websites, or from your purchase or use of any third-party products, services, or content. Please review each third party's policies and practices before engaging in any transaction with them; complaints, claims, or questions regarding third-party products and services should be directed to that third party.

Section 9 – Relationship with Shopify

Paragon's Services are powered by Shopify, which enables us to operate our store. Any sales and purchases made through the Services, however, are made directly with Paragon. By using the Services, you acknowledge that Shopify is not responsible for any aspect of the sales between you and Paragon — including any injury, damage, or loss resulting from the products or services purchased — and you release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your transactions with Paragon.

Section 10 – Privacy Policy

All personal information Paragon collects through the Services is subject to our Privacy Policy, and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read both policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services on Paragon's behalf. Information you submit through the Services may be shared with Shopify and other third parties, including those located in countries other than your own, in order to provide the Services to you. Section 11 – Feedback

If you submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant Paragon a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback for any purpose, including commercial use — for example, to operate, provide, evaluate, enhance, and promote the Services.

You represent and warrant that (i) you own or hold all rights necessary to submit the Feedback; (ii) you have disclosed any compensation or incentive received in connection with it; and (iii) your Feedback complies with these Terms. Paragon is under no obligation to keep Feedback confidential, to compensate you for it, or to respond to it, and may — but is not obligated to — monitor, edit, or remove Feedback that Paragon determines, in its sole discretion, to be unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that violates any party's rights or these Terms.

You further agree that your Feedback will not violate any third party's copyright, trademark, privacy, or other rights; will not contain unlawful, abusive, or obscene content or any virus or malware; and will not misrepresent your identity or origin. You are solely responsible for your Feedback and its accuracy; Paragon assumes no liability for Feedback posted by you or any third party.

Section 12 – Errors, Inaccuracies and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. Paragon reserves the right to correct any such errors and to change, update, or cancel orders based on inaccurate information at any time, without prior notice, even after an order has been submitted.

Section 13 – Prohibited Uses

You may access and use the Services only for lawful purposes. You may not use the Services, directly or indirectly, to: (a) engage in any unlawful or malicious activity; (b) violate any applicable law or regulation; (c) infringe Paragon's intellectual property rights or those of others; (d) harass, abuse, defame, or harm Paragon's employees or any other person; (e) transmit false or misleading information; (f) upload or transmit material that does not comply with these Terms; (g) send unsolicited advertising, spam, or similar solicitations; (h) impersonate any person or entity; or (i) engage in conduct that, in Paragon's determination, restricts or inhibits anyone's use of the Services or exposes Paragon, Shopify, or other users to liability.

You further agree not to: (a) upload viruses or malicious code; (b) reproduce, extract, or exploit any portion of the Services for resale; (c) collect or track others' personal information; (d) spam, phish, or pretext the Services; (e) use bots, scrapers, automated tools, or AI agents to access the Services; or (f) bypass or interfere with any security, authorization, or access-control measures Paragon employs. Paragon reserves the right to suspend, disable, or terminate your account at any time, without notice, for any violation of these Terms.

Section 14 – Agents

14.1 This section ("Agent Terms") applies whenever you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity, and that can operate without direct human supervision.

14.2 No Agent may access, use, or interact with the Services unless it identifies itself and operates in strict accordance with Section 14.4 below, and only if Paragon has not requested that the Agent refrain from doing so.

14.3 Paragon may limit — including through technical measures — whether and how any Agent accesses, uses, or interacts with the Services.

14.4 Agents must: (i) identify themselves as an Agent in all HTTP/HTTPS requests by including "Agent/[agent name]" in the request’s user-agent string; (ii) not conceal or obfuscate that their access is automated, including by mimicking human behavior or by completing or circumventing CAPTCHAs; (iii) respond truthfully to any prompt seeking to determine whether an interaction is coming from a human or a computer; and (iv) not circumvent any measure Paragon uses to block, limit, or control Agent access.

Section 15 – Termination

Paragon may terminate this agreement or your access to the Services, in whole or in part, at its sole discretion and without notice; you will remain liable for all amounts due through the date of termination. The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive.

Section 16 – Disclaimer of Warranties

Information presented on or through the Services is provided for general informational purposes only. Paragon does not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on it is at your own risk. Paragon disclaims all liability arising from reliance on such materials by you or any other visitor to the Services.

EXCEPT AS EXPRESSLY STATED BY PARAGON, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. PARAGON DOES NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

Section 17 – Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PARAGON — INCLUDING OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AS WELL AS THOSE OF SHOPIFY AND ITS AFFILIATES — WILL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PROCURED THROUGH THE SERVICES, INCLUDING ANY ERRORS, OMISSIONS, OR LOSSES RESULTING FROM CONTENT OR PRODUCTS MADE AVAILABLE VIA THE SERVICES, EVEN IF PARAGON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Section 18 – Indemnification

You agree to indemnify, defend, and hold harmless Paragon, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims — including reasonable attorneys' fees — arising out of (1) your breach of these Terms of Service or any incorporated document, (2) your violation of any law or third-party right, or (3) your access to or use of the Services.

Paragon will notify you of any indemnifiable claim; a delay in notice will not relieve you of your obligations unless it materially prejudices your defense. Paragon may control the defense and settlement of any such claim at your expense, including choice of counsel, but will not settle any claim requiring a non-monetary obligation from you without your consent, which will not be unreasonably withheld. You agree to cooperate in the defense of any indemnified claim, including by providing relevant documents.

Section 19 – Severability

If any provision of these Terms of Service is found unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be severed from these Terms. This determination will not affect the validity or enforceability of any remaining provisions.

Section 20 – Waiver; Entire Agreement

Paragon's failure to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of that right or provision.

These Terms of Service, together with any policies or operating rules Paragon posts on the Services, constitute the entire agreement between you and Paragon regarding your use of the Services, superseding any prior or contemporaneous agreements, communications, or proposals — whether oral or written — including any earlier versions of these Terms. Any ambiguity in interpreting these Terms will not be construed against the drafting party.

Section 21 – Assignment

You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without Paragon's prior written consent; any attempt to do so will be null and void. Paragon may transfer, assign, or delegate these Terms and its rights and obligations without your consent or notice to you.

Section 22 – Governing Law

These Terms of Service, and any separate agreement under which Paragon provides you the Services, are governed by and construed in accordance with the laws of the jurisdiction in which Paragon is headquartered, without regard to conflict-of-law principles. You and Paragon consent to the exclusive venue and personal jurisdiction of the federal and state courts located in that jurisdiction.

Section 23 – Headings

Headings used in this agreement are included for convenience only and do not limit or otherwise affect these Terms.

Section 24 – Changes to Terms of Service

You may review the most current version of these Terms of Service at any time on this page. Paragon reserves the right, at its sole discretion, to update, change, or replace any part of these Terms by posting updates to our website; it is your responsibility to check the website periodically for changes. Paragon will notify you of any material changes to these Terms as required by applicable law, and such changes will take effect on the date specified in the notice. Your continued use of the Services after any changes are posted constitutes your acceptance of those changes.
